Private-Lending Risk Disclosure

Private lending involves substantial risk. A lien against a quota license is collateral—not a guarantee of payment, principal recovery, interest, liquidity, or return.

Indicative Returns Are Not Guaranteed

The 10%–12% annual note-rate range displayed on the website is indicative of certain opportunities, not an average realized return or promise. A lender may receive less than expected or lose principal and unpaid interest.

Borrower and Default Risk

Borrowers may miss payments, become insolvent, dispute obligations, or default. Collection and enforcement may require notices, professional fees, litigation, and substantial time. Foreclosure proceeds may be insufficient to repay the debt.

License Collateral Risk

A Florida quota license is an intangible regulatory asset and is not physically damaged like a building. Nevertheless, its value and enforceability may be affected by market conditions, senior liens, title or ownership disputes, incomplete documentation, suspension, revocation, regulatory action, transfer limitations, taxes, costs, or changes in law.

Lien Perfection and Foreclosure

Florida Statute §561.65 requires a lien or security interest intended to be enforceable against a spirituous alcoholic-beverage license to be properly recorded with the Division within the required period. Enforcement occurs through legal process, and a foreclosure purchaser must be qualified and authorized or transfer the license to a qualified person. Every transaction requires independent Florida counsel and current lien, license, and title diligence.

Self-Directed IRA Risk

A self-directed IRA investment must be administered through an appropriate custodian and comply with federal tax rules. Transactions involving the IRA owner or another disqualified person can be prohibited and may produce severe tax consequences.
